Sherwin Iron (ASX: SHD) (formally Batavia Mining) has completed the acquisition of the Roper River Iron Project in the Northern Territory.

Consideration includes a payment by Sherwin of A$6 million, the issuance of 150 million ordinary fully paid shares and the issuance of 100 million listed options, exercisable at $0.135 and expiring 15 June 2010.

$4 million of the cash consideration due for settlement has been deferred until 31 December, pursuant to a Deed of Variation.

The shares and listed options issued on completion are subject to escrow restrictions for a period of 12 months, in accordance with ASX listing rules.

The Sherwin capital structure will now be 303,032,145 shares, 166,780,966 listed options and 43,040,000 unlisted options.

The most recent assay results from Roper River confirm a broad north east extension of a near surface continuous zone of 3-4 metre thick supergene-enriched hematite at W Deposit, an area Sherwin has recently been focusing on.
